These terms are an agreement between you and Avunu LLC ("Avunu", "we", "us"), a Pennsylvania limited liability company at 948 E Philadelphia St, York Pennsylvania 17403, United States. They cover the jxsuite.com website, the hosted Jx Publishing Platform at studio.jxsuite.com ("Jx Cloud"), and the Jx Studio Cloud subscription that unlocks it. By signing in to Jx Cloud, or by starting a subscription, you agree to them. If you use Jx Cloud for an organization, you agree on its behalf and confirm you may.
How we handle personal data is in the Privacy Policy , which forms part of these terms.
1. The open-source software
The Jx Studio desktop app, the
jx
command-line tools and the
@jxsuite/*
packages are open-source software, published under the
MIT License
. That license, not these terms, governs your use of them: you need no account and no subscription to download, run, modify or redistribute them, and nothing here adds a condition to it or takes a permission away. As the license says, the software is provided as is, without warranty of any kind.
2. Your account
You sign in to Jx Cloud with your GitHub account, and your Jx Cloud account is tied to it. You must be at least 16 years old and able to enter a binding contract. Keep your GitHub account secure: anything done through your session is treated as done by you. Tell us at support@jxsuite.com if you believe your account has been used without your permission.
3. Your content
Your projects live in your GitHub repositories, and they are yours. We claim no ownership of anything you create, edit or store with Jx Cloud.
You give us a limited permission to host, copy, process, transmit and display your content only as needed to run Jx Cloud for you: to hold your working files while you edit, to show them to the collaborators GitHub lets see them, to send them to the AI provider or Cloudflare account you direct, and to write your commits to GitHub. That permission ends when your content is deleted from our systems, as the Privacy Policy describes.
You are responsible for your content and for having the rights to use it, and for the personal data of others you put in it.
4. Acceptable use
Do not use Jx Cloud to:
break the law, or to infringe anyone's intellectual property or privacy;
store or spread malware, or content that exploits or endangers children;
probe, scan or attack the service or anyone else's systems, or get around its security, rate limits or access checks;
resell or rent access to Jx Cloud, or share one subscription among several people;
place an unreasonable load on the service, for example by automated bulk requests.
We may remove access to content that breaks these rules, and suspend accounts used to break them.
5. Services you connect
Jx Cloud works with accounts you hold elsewhere, under your own agreements with those providers:
GitHub holds your repositories, your identity and your permissions.
Cloudflare , if you connect it, runs your published sites and the assistant's AI on your own Cloudflare account , which Cloudflare bills to you. Jx Studio Cloud does not include Cloudflare's charges.
An AI provider , if you bring your own key, answers under your agreement with it.
Stripe processes subscription payments on our behalf.
We are not responsible for those services, their availability, or what they charge you.
6. Jx Studio Cloud
6.1 What it includes
A Jx Studio Cloud subscription unlocks the cloud work Jx Cloud does for you: opening and saving GitHub projects in the cloud editor, realtime collaboration on them, and the assistant and publishing that Jx Cloud brokers to your own Cloudflare account. It is per person, and each collaborator needs their own. The desktop app needs no subscription, and nothing in it is limited without one. We may offer some projects in Jx Cloud without a subscription, at our discretion.
6.2 Price and taxes
The price is shown at checkout before you pay, and is charged monthly in advance in US dollars. Sales tax, VAT or similar taxes are added where the law requires them.
6.3 Free trial
New subscribers may receive one free trial per GitHub account, of the length shown at checkout. You may not need to give a payment method to start it; some accounts are asked for one. If you have added a payment method by the end of the trial, the subscription continues at the price then shown and your first charge is made that day. If you have not, the subscription ends when the trial does and you are not charged.
6.4 Renewal and cancellation
A subscription renews automatically every month until you cancel it. You can cancel at any time from Preferences › Accounts in the studio, which opens the billing portal, or by writing to support@jxsuite.com . Cancellation takes effect at the end of the period you have already paid for, and you keep access until then.
6.5 Failed payments
If a renewal payment fails, we retry it for up to two weeks and you keep access while we do. If it still fails, the subscription ends.
6.6 Refunds
Payments are non-refundable except where the law requires otherwise or we decide to refund at our discretion. If something has gone wrong with a charge, write to support@jxsuite.com . Disputing a charge with your bank ends the subscription at once while the dispute is resolved.
6.7 Price changes
We will give you at least 30 days' notice, by email and in the studio, before a price change applies to your subscription. It takes effect from your next renewal after the notice period, and you can cancel before then.
7. Changes to the service
Jx Cloud will change as Jx Suite does. We may add, change or remove features. If we remove a feature Jx Studio Cloud includes in a way that materially reduces what you pay for, we will tell you in advance, and you may cancel and ask for a pro-rata refund of the unused period. We aim to keep Jx Cloud available but do not promise uninterrupted service.
8. Ending your use
You can stop using Jx Cloud whenever you like, and ask us to delete your account at privacy@jxsuite.com . We may suspend or end your access if you break these terms, if the law requires it, or if continuing would expose us or others to harm; where it is reasonable to, we will tell you first and give you the chance to put it right. If we end Jx Cloud for everyone, we will give at least 30 days' notice and refund any period you have paid for and not used.
Your repositories stay on GitHub whatever happens to your Jx Cloud account. Commit your work: changes you have not committed live only in the cloud working tree, and are deleted with your account.
9. Disclaimers
Jx Cloud is provided as is and as available. To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that it will not lose data you have not committed to GitHub.
10. Limitation of liability
To the fullest extent the law allows, neither Avunu nor its members, employees or contributors will be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of Jx Cloud. Our total liability for any claim relating to Jx Cloud is limited to the greater of the amount you paid us for Jx Studio Cloud in the twelve months before the claim, and one hundred US dollars.
11. Indemnity
If someone brings a claim against Avunu because of content you stored with Jx Cloud or your breach of these terms, you will cover our reasonable costs of defending it, to the extent the law allows.
12. Your rights as a consumer
If you use Jx Cloud as a consumer, you keep every right that consumer protection law in your country gives you and that cannot be waived by contract. Nothing in these terms limits those rights, including any right to withdraw from a contract made at a distance where it applies to you.
13. Governing law and disputes
These terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. Disputes go to the state or federal courts located in York County, Pennsylvania, and both of us agree to their jurisdiction. If you are a consumer living elsewhere, you may also bring proceedings in the courts where you live, and the mandatory law of your residence still applies to you.
14. Changes to these terms
We may update these terms. For a material change, we will give Jx Cloud users at least 30 days' notice in the studio and, for subscribers, by email, before it takes effect. If you continue to use Jx Cloud after that, the new terms apply; if you do not accept them, cancel before they take effect. The current version always lives at jxsuite.com/terms.
15. Everything else
If a court finds part of these terms unenforceable, the rest still applies. Not enforcing a term right away does not waive it. You may not transfer these terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets, and will tell you if we do. These terms, with the Privacy Policy, are the whole agreement between us about Jx Cloud.
